These Terms of Service ("Terms") govern your use of the MemoRoot application and website (the "Service"), operated by MemoRoot ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
MemoRoot is a personal knowledge management application that captures user-submitted notes, organizes them using AI processing, and stores them as plain markdown files in a storage location you choose and control (a GitHub repository or a Google Drive folder, connected via your own account).
You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at support@memoroot.xyz if you suspect unauthorized use of your account.
You retain full ownership of all notes, text, and other content you submit to the Service ("your content"). We claim no ownership rights over your content.
Because MemoRoot stores your notes as plain markdown files directly in a storage location you control (your own GitHub repository or Google Drive folder), your content remains accessible to you independent of MemoRoot at all times. If you disconnect from the Service or your account is terminated, the notes already written to your storage location remain yours.
You grant MemoRoot a limited license to access, process, and transmit your content solely as necessary to provide the Service (for example, to run AI organization, generate search embeddings, and write files to your connected storage).

The Service integrates with third-party providers, including GitHub, Google Drive, the AI model providers available in Settings (Anthropic, OpenAI, Z.ai, Google), Voyage AI, Clerk, Neon, Sentry, and Cloudflare. Your use of these integrations is also subject to each provider's own terms of service. We are not responsible for the availability, performance, or practices of third-party services.
The Service uses AI models to structure, tag, and summarize the notes you submit. AI-generated structuring is provided for organizational convenience and may occasionally be inaccurate or incomplete. You are responsible for reviewing AI-generated content for accuracy before relying on it.
The Service is currently provided free of charge. We do not guarantee uninterrupted or error-free operation and may modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to notify users of material changes affecting their access to their content.
We may introduce paid plans or usage-based pricing in the future. If we do, these Terms will be updated in advance to describe pricing, billing, and cancellation terms, and you will be notified before any charges apply to your account.
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI-generated output will be accurate.
To the maximum extent permitted by law, MemoRoot shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, arising from your use of or inability to use the Service. Because your content is stored in your own GitHub repository or Google Drive folder, you are encouraged to maintain your own backups.
You may stop using the Service and disconnect your account at any time. We may suspend or terminate your access to the Service if you violate these Terms. Upon termination, your right to use the Service ends, but content already written to your own connected storage remains yours.
We may update these Terms from time to time. If we make material changes, we will notify users through the Service or by other reasonable means before the changes take effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
